Terms of Use & End User License Agreement

Last updated: October 27, 2026

1. Agreement

These terms (the “Agreement”) govern use of the Cielo ERP oversight application (the “Application”) by the operating company that owns it and by the individuals the owner invites to use it (together, “you”). By using the Application you agree to these terms.

2. License

The owner grants each invited user a personal, non-exclusive, non-transferable license to use the Application for the company's internal business purposes during the period the user is authorized. This license does not permit resale, redistribution, or use on behalf of any other organization.

3. Connected accounts

The Application connects to third-party services (including QuickBooks Online) using credentials the owner supplies through each service's official authorization process. Connections are read-only: the Application never modifies, creates, or deletes records in a connected service. You are responsible for the authorization decisions you make in the connected service.

4. Acceptable use

Users must keep their sign-in credentials confidential, must not attempt to access data of companies or entities they are not authorized to see, and must not probe, disrupt, or reverse-engineer the Application or its infrastructure.

5. Informational output

The Application surfaces audit checks, summaries, and anomaly notices. These are informational aids, not accounting, legal, or tax advice, and they may contain errors or omissions. Decisions remain with the people who make them, and records in connected systems remain the systems of record.

6. Availability; changes

The Application is provided as-is. The owner may change, suspend, or discontinue any part of the Application at any time. Downtime, integration changes on the part of connected services, and data sync delays may affect availability.

7. Disclaimers and liability

Except as expressly stated, the Application is provided without warranties of any kind. To the fullest extent permitted by law, the owner is not liable for indirect, incidental, or consequential damages, or for lost profits or data, arising from use of the Application. This clause does not limit liability that cannot be limited under applicable law.

8. Termination

The owner may revoke a user's access at any time. On termination, the user's license ends and the user should stop using the Application. Stored data is handled as described in the Privacy Policy.

9. Changes to these terms

The owner may update these terms; the current version is always published on this page. Continued use after an update constitutes acceptance.
